Shareholder and Warrantholder Selldown

Promisia Healthcare Limited (Promisia) (NZX: PHL) has been advised that:
• its largest shareholder, the Brankin Family Interest Trust has entered an agreement to sell 7 million shares to Gould Holdings Limited for consideration of $0.70 per share with this transaction scheduled to complete on 1 April 2027.
• its largest warrantholder, Asset Management Limited has entered an agreement to sell 6 million warrants to Gould Holdings Limited for consideration of $0.25 per warrant with this transaction scheduled to complete on 30 October 2026.
The Board of Promisia is pleased to welcome Gould Holdings as a significant shareholder for its next stage of growth. The Board also wishes to acknowledge the partial sell down by Tom Brankin who was instrumental in transforming Promisia into an aged care company in 2020 and since then, maturing Promisia into a profitable company that today cares for over 750 residents across New Zealand.
