Capital Change - Placement

Tāiko Critical Minerals Limited (Taiko or the Company) (NZX:TCM) provides the attached Capital Change Notice pursuant to NZX Listing Rule 3.13.1.

The Capital Change Notice relates to the issue of 28,000,000 ordinary shares at an issue price of $0.25 per share, raising $7 million under the placement to institutional and wholesale investors announced on 6 July 2026 (refer https://www.nzx.com/announcements/475657).

The placement was initially undertaken to raise up to $5 million, with the Board retaining discretion to accept oversubscriptions of up to $2 million. The placement was oversubscribed and was capped at $7 million.

As announced on 6 July 2026, the placement will be followed by a share purchase plan, under which eligible shareholders will have the opportunity to acquire shares at the same issue price as the

placement.
