Genesis Energy Limited (Genesis) provides this Capital Change Notice pursuant to NZX Listing Rule 3.13.1.

This notice relates to the following:

(a) the issue of 146,318,399 ordinary shares under the rights offer announced on 23 February 2026; and

(b) the issue of 6,486,161 ordinary shares under Genesis’ dividend reinvestment plan (DRP) in respect of the interim dividend for the period ended 31 December 2025.
