Manawa Bonds – early redemption and delisting
Manawa Energy Limited (Manawa) has today distributed a notice to bondholders exercising its right to redeem in full each of its three series of unsecured, unsubordinated fixed rate bonds (Bonds), being bonds issued by Manawa:
• on 22 February 2019 which are quoted on the NZX Debt Market under the ticker “MNW170”;
• on 29 July 2019 which are quoted on the NZX Debt Market under the ticker “MNW180”; and
• on 8 September 2022 which are quoted on the NZX Debt Market under the ticker “MNW190”.
These redemptions follow the acquisition of all the shares in Manawa by Contact Energy Limited pursuant to a court approved scheme of arrangement (Scheme). The Scheme was implemented on 11 July 2025. Contact and Manawa have previously announced Contact’s intention to redeem the Bonds at or shortly after implementation of the Scheme, including in their respective NZX announcements of 11 September 2024 confirming their entry into a scheme implementation agreement.
The redemptions will occur, and the redemption price for the Bonds will be paid by Manawa to persons who hold Bonds on 25 July 2025 (being the Record Date for the redemptions), on 5 August 2025 (Redemption Date).
The redemption price will be determined on or after 15 July 2025, in accordance with the requirements of the Master Trust Deed and applicable Series Supplement, and published by Manawa by announcement to NZX. That announcement will be available at www.nzx.com/companies/MNW/announcements.

Immediately following the above, on 5 August 2025, Manawa will be delisted from NZX.
The registered office and mailing address of Manawa Energy Limited has from 11 July 2025 changed to Level 2, Harbour City Tower, 29 Brandon St, Wellington, 6011, New Zealand.
