Financial Assistance Notice

Cooks Coffee Company Limited (Cooks) (NZX: CCC) gives notice under section 80(1)(b) of the Companies Act 1993 (the Act) that, in accordance with section 80 of the Act, it has provided financial assistance in the form of a loan to CCC Employee Share Trust Limited to fund the acquisition of shares in Cooks to be held in the Cooks Coffee Employee Share Scheme.

The details of the financial assistance provided by Cooks are as follows:

Shares in respect of which financial assistance was provided:

>3,670,000 ordinary shares in Cooks

Consideration paid or payable for the Shares:

> £128,450

Recipients of the financial assistance:

> CCC Employee Share Trust Limited (as the sole corporate trustee of the Trust)

Nature and amount of the financial assistance:

> The financial assistance was provided by way of an advance by Cooks to CCC Employee Share Trust Limited of £128,450
