METLIFECARE LIMITED CONSIDERS BOND OFFER

Metlifecare Limited (NZX: MET) (Metlifecare) is considering an offer of 6 year secured, unsubordinated, fixed rate sustainability bonds (Bonds) to institutional investors and New Zealand retail investors.

Full details of the proposed Bond offer will be released upon the offer opening, which is expected to be in the week commencing 21 September 2026.

Metlifecare has appointed Bank of New Zealand (BNZ) as Arranger, and Craigs Investment Partners Limited, Forsyth Barr Capital Markets Limited and Westpac Banking Corporation (ABN 33 007 457 141) (acting through its New Zealand branch), together with BNZ, as Joint Lead Managers in relation to the proposed Bond offer.

There is not expected to be any public pool for the offer, with all of the Bonds being reserved for clients of the Joint Lead Managers, Primary Market Participants and other approved financial intermediaries invited to participate in the bookbuild conducted by the Joint Lead Managers.

Investors can register their interest in the proposed Bond offer by contacting one of the Joint Lead Managers (details below) or their usual financial advice provider. Indications of interest will not constitute an obligation or commitment of any kind. No money is currently being sought and applications for the proposed Bonds cannot currently be made.

If Metlifecare proceeds with the Bond offer, it will be made in New Zealand in accordance with the Financial Markets Conduct Act 2013 as an offer of debt securities of the same class as Metlifecare’s existing quoted debt securities which are quoted on the NZX Debt Market under the ticker code MET010 (maturing 30 September 2026). The Bonds are expected to be quoted on the NZX Debt Market.
