NZ SHARE PURCHASE PLAN

WasteCo Group Limited (NZX: WCO) (WasteCo) is pleased to announce the formal terms of a share purchase plan to its eligible shareholders (SPP).

A total of $750,000 is being sought under the SPP, with the ability to accept oversubscriptions at WasteCo’s discretion.

The SPP is available to those existing shareholders recorded in WasteCo’s share register as having a New Zealand address as at 5.00pm (NZST) on 10 September 2026 (Eligible Shareholders).

Eligible Shareholders may apply for up to a maximum of $50,000 of new shares. There is no minimum application amount for the SPP. The SPP is not underwritten.

If WasteCo receives applications for more than $750,000 of new shares in aggregate, scaling may be applied by reference to accepting Eligible Shareholders’ shareholdings at 5.00pm (NZST) on 10 September 2026.

Important dates

Record Date for determining eligibility of shareholders for the SPP - 5.00pm (NZST) on 10 September 2026

Opening Date of SPP - 11 September 2026

Closing Date of SPP (last day for online applications with payment) - 5.00pm (NZST) on 24 September 2026, unless extended by WasteCo

Allotment and issue of new shares - 30 September 2026, and weekly thereafter if the SPP is extended

Statements mailed - By 7 October 2026, and weekly thereafter if the SPP is extended
