Amendments to Notice of Annual Shareholders’ Meeting

Trade Window Holdings Limited (TradeWindow or the Company) advises that the voting restrictions set out in the Notice of Annual Shareholders' Meeting released on 31 August 2026 were incorrect.
The Notice stated that, in accordance with NZX Listing Rule 6.3.1, the Company would disqualify votes cast by any Director and their respective Associated Persons in favour of Resolutions 3, 4 and 5. Those restrictions do not apply. The voting restrictions section has been amended accordingly.
The corrected voting restrictions are:
Resolution 1
There are no voting restrictions applicable to Resolution 1.
Resolution 2
In accordance with NZX Listing Rule 6.3.1, the Company will disqualify any votes cast by any Director (and their respective Associated Persons (as defined in the NZX Listing Rules)) in favour of Resolution 2.
Resolutions 3, 4 and 5
There are no voting restrictions applicable to Resolutions 3, 4 and 5.
The Chair intends to vote all undirected proxies held by him in favour of Resolutions 1, 3, 4 and 5. The Chair will abstain from voting undirected proxies on Resolution 2.
No other part of the Notice of Annual Shareholders' Meeting has changed.
