Skellerup Holdings Limited (“Skellerup” or “the Company”) has been required to provide a copy of its full statutory share register to Worthington Clark Pty Limited, an Australian commercial asset-recovery business.

Skellerup opposed the request and twice referred it to the Financial Markets Authority (“FMA”) under section 224 of the Financial Markets Conduct Act 2013, citing concerns about the disclosure of its entire shareholder base creating a risk of investor harm through unsolicited approaches to shareholders who have no need for the services offered and who would not reasonably expect their personal information to be disclosed for that purpose.

The FMA declined the Company’s request to withhold the register, having determined that the request did not present sufficient risk of investor harm, unlawful use, or vexatious or frivolous conduct.

Skellerup considers it unacceptable that the statutory regime permits an overseas commercial business to obtain the personal information and holding details of all 5,500 Skellerup shareholders for its commercial activities, despite the Company’s objection. Under this regime, Skellerup has no legal basis to refuse the request without the FMA's support.
