Shareholder Register Release

Mainfreight Limited has been required to provide its statutory share register to Worthington Clark Pty Limited, an Australian commercial asset-recovery business.

Mainfreight opposed the request and referred it twice to the Financial Markets Authority (FMA) under section 224 of the Financial Markets Conduct Act 2013. Mainfreight raised concerns about the disclosure of its entire shareholder base.

The FMA declined Mainfreight’s request to withhold the register, having determined (in its view) that the request did not present sufficient risk of investor harm, unlawful use, or vexatious or frivolous conduct.

Mainfreight considers it unacceptable that the statutory regime permits an overseas commercial business to obtain the personal information and holding details of all Mainfreight shareholders for its commercial activities, despite Mainfreight’s objection.

Mainfreight has no legal basis to refuse the request without the support of the FMA.

Mainfreight finds this disappointing.
