Resignation of Director

AFC Group Holdings Limited (AFC or the Company) advises that Zilei (Jacky) Wang has resigned as an independent director of the Company.

Mr Wang's resignation took effect on 30 July 2026, when his signed resignation notice was received by the Company at its address for service.

Mr Wang also ceased to be a member of the Company’s Audit and Risk Committee upon his resignation.

The Audit and Risk Committee comprises Bo Xian (Charles) Cao as Chair, Jingwei Ma and David Chen. The Board has determined that Mr Cao and Mr Ma are Independent Directors and that Mr Chen is a Non-independent Director. The Committee therefore has a majority of Independent Directors. The Board has determined that Mr Chen has an adequate accounting and financial background for the purposes of NZX Listing Rule 2.13.2(d), having regard to his accounting degree and extensive chief executive and financial oversight experience.
