GNZ Buyback of Stapled Shares

Further to the announcement on 3 July 2026 and following shareholder approval of the Buyback Programme at the consolidated annual meeting of shareholders of GNZL and GPS held earlier today, Goodman New Zealand Limited (GNZL) and Goodman Property Services (NZ) Limited (GPS) (together, Goodman NZ or GNZ) give notice for the purposes of NZX Listing Rule 4.14.2 of the on-market buyback programme to acquire up to 75 million stapled shares in GNZL and GPS (Stapled Shares), or Stapled Shares with an aggregate value of up to $110 million (whichever limit is reached first), through on-market transactions (Buyback Programme) over the period commencing 31 July 2026 until 27 July 2027 (Initial End Date). Goodman NZ currently intends to continue the Buyback Programme following the Initial End Date until the date of the next annual meeting of GNZL and GPS. If Goodman NZ decides to do so, it will provide a new notice in accordance with NZX Listing Rule 4.14.2 before the Initial End Date.

The Board of each of GNZL and GPS considers the Buyback Programme remains attractive for the reasons outlined in the Notice of Meeting (NOM) dated 3 July 2026.

Throughout the buyback period, GNZ will continue to actively assess investment opportunities, market conditions, its prevailing share price and all other relevant considerations. GNZ is not obliged to make offers, and reserves the right to cease making offers at any time. GNZ retains full discretion to vary, suspend, or terminate the Buyback Programme at any time subject to providing 3 business days' notice on the NZX.

Jarden Securities Limited will execute the on-market acquisitions under the Buyback Programme.
