Director Independence Determination – Ian Whiting

AUCKLAND, 08 July 2026: In accordance with NZX Listing Rules 2.6.1 and 2.6.2, the Board of EROAD Limited (NZX/ASX: ERD) has assessed the independence of Mr Ian Whiting, who was elected as a Non-Executive Director at the Company’s Annual Shareholders’ Meeting held on 24 June 2026.
In making its determination, the Board considered the factors set out in the NZX Corporate Governance Code, together with all relevant relationships and circumstances, including Mr Whiting’s director nomination by Ampfield Holdings, L.P.
The Board has determined that Mr Whiting is an Independent Director for the purposes of the NZX Listing Rules. The Board is satisfied that currently no interest, position, association or relationship exists that could reasonably be expected to materially influence, or could be perceived to materially influence, Mr Whiting’s ability to exercise independent judgement and act in the best interests of EROAD.
