Capital Change Notice – Issue of Additional Performance Share Rights and Restricted Share Rights

Genesis Energy Limited provides the attached Capital Change Notice in accordance with NZX listing rule 3.13.1. The Capital Change Notice relates to the issue of 45,884 performance share rights (and also in the case of Malcolm Johns 11,242 restricted share rights) to participants in the Company’s FY24, FY25 and FY26 long term incentive plans. The issues have been made to adjust for the impact of the $300 million rights issue completed in March 2026 by preserving the value of the participants’ existing performance share rights/restricted share rights which were not eligible to participate in the rights issue.
