The Meeting of Holders of GMT Bond Issuer Limited’s ("GMB") Bonds was held today to consider and vote on Special Resolutions to approve certain amendments to the Bond documents for each Series of Bonds.

The voting results are detailed below. The proposed amendments being sought were in connection with the proposal to transition Goodman Property Trust to a corporatised and stapled structure (the "Transaction").

Voting on each Special Resolution was conducted by a poll and Holders passed all the Special Resolutions.

Special Resolution 1 - Trust Deed Amendments.

Special Resolution 1 was passed.

Of the 355,574,000 Bonds voted, 100.00% were in favour of Special Resolution 1 and 0.00% against.

Special Resolution 2 - Guarantee and General Security Deed and Security Trust Deed Amendments.

Special Resolution 2 was passed.

Of the 355,574,000 Bonds voted, 100.00% were in favour of Special Resolution 2 and 0.00% against.

Special Resolution 3 - Entry into New Bond Guarantee and Discharge of Bond Guarantees.

Special Resolution 3 was passed.

Of the 355,574,000 Bonds voted, 100.00% were in favour of Special Resolution 3 and 0.00% against.

Special Resolution 4 - Novation of each Bond Loan Agreement.

Special Resolution 4 was passed.

Of the 355,574,000 Bonds voted, 100.00% were in favour of Special Resolution 4 and 0.00% against.

The expected completion date of the Transaction is 7 April 2026, which is also when the proposed amendments to the Bond documents will take effect.

Further to the announcement and Notice of Meeting of Holders of Bonds released by GMB on Friday, 27 February 2026, GMB will be changing its name to GNZ Bond Issuer Limited. The change will be effective on NZX on Thursday, 2 April 2026.
