Opening of Rights Offer

Rua Bioscience Limited (“Rua”) is pleased to announce the opening of its 1 for 3 pro rata renounceable rights offer (“Rights Offer”) to raise up to approximately NZ$2.8 million (if fully subscribed). The Rights Offer was announced on 22 September 2026 and will primarily fund the inventory and working capital needed to meet growing customer demand, in particular under Rua’s largest export agreement to date in the United Kingdom.
Under the Rights Offer, eligible shareholders with a registered address in New Zealand or Australia may apply for 1 new share for every 3 existing shares held at 5.00pm (NZDT) on the record date of 29 September 2026, at an issue price of NZ$0.025 per new share. The issue price represents a 32% discount to the 20-day volume weighted average price of Rua shares traded on the NZX Main Board up to 17 September 2026. Up to approximately 113.1 million new shares will be issued under the Rights Offer (33% of existing shares on issue).
The Rights Offer is renounceable. Rights are quoted on the NZX Main Board, with rights trading having commenced on 28 September 2026 and closing on 9 October 2026. Eligible shareholders who choose not to take up their entitlements may sell some or all of their rights on the NZX Main Board, subject to sufficient demand for the rights. Eligible shareholders who take up their rights in full may also apply for any number of additional new shares at the same issue price under the Oversubscription Facility. Any shortfall shares may also be made available to new investors.
New shares issued under the Rights Offer will rank equally in all respects with Rua’s existing ordinary shares.
