EROAD 2026 Annual Shareholders Meeting Addresses

AUCKLAND, 24 June 2026: EROAD Limited attaches for release to the market the following materials presented at today's Annual Shareholders' Meeting:

• ASM Presentation; and

• Executive Chair's address and EROAD management's address.

As disclosed in the Executive Chair's address, at the time of release of these materials, votes have been cast ahead of the meeting in respect of shares that represent 59.6% of the total shares on issue, with over 64% of those votes cast in accordance with the Board's recommendations. As such, the company's expectation is that the resolutions proposed by Ampfield Holdings, L.P. that were not recommended by the Board are unlikely to pass.

A further announcement will be made following the conclusion of the meeting confirming the results of the resolutions put to shareholders.
