KMD Brands Limited advances board renewal with new non-executive director appointment

KMD Brands Limited (ASX/NZX: “KMD”, “KMD Brands” or the “Group”) today announces that, as part of the Board renewal process announced in May, John Strowger will join the Company as a non-executive director effective 1 July 2026.

John Strowger has had a distinguished career as a leading New Zealand commercial lawyer specialising in corporate and securities law, as well as mergers and acquisitions. He was a partner at Chapman Tripp for nearly three decades (1993–2022) and continues with the firm as a consultant.

John brings extensive governance experience, currently serving as Chair of Skellerup Holdings Limited and as a director of Sanford Limited, together with a range of roles across private companies and advisory boards.

With the appointment of Mr Strowger to the Board from 1 July 2026, David Kirk will resign as a director of the Company with effect from 1 July 2026.

As required by the Company’s constitution and the NZX Listing Rules, Mr Strowger will hold office until the annual shareholders’ meeting of the Company following the effective date of his appointment, at which time he will resign and stand for election.

In accordance with Listing Rule 2.6.1, the Board has determined that John Strowger is an independent director of the Company.

The recruitment process to appoint a further non-executive director to the Board is ongoing, with a further announcement to be made in due course once the new appointment is confirmed.
