Results of shareholder voting at Fonterra Annual Meeting

Fonterra shareholders have voted to pass all six resolutions at this year’s Annual Meeting.

The results of each of the Annual Meeting resolutions (showing the percentage in favour) are as follows:

Resolution 1: Ratification of, and approval of changes to, the remuneration of Directors – 87.61%

Resolution 2: Approval of changes to the remuneration of Co-operative Councillors – 84.91%

Resolution 3: Approval of changes to the remuneration of members of the Directors’ Remuneration Committee – 88.59%

Resolution 4: Appointment of KPMG as auditor and authorisation of the Directors to fix the auditor’s remuneration – 97.88%

Resolution 5: Approval of amendments to the Constitution relating to Fonterra’s move to the NZX Main Board – 98.30%

Resolution 6: Approval of the Co-operative Council programme and budget – 92.18%
